These Terms of Use ("Terms") apply to the Regi Digital Ltd. corporate website and the Regi compliance platform and related services (the "Service"). By accessing or using the website or Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation.

If your organisation has a separate written agreement with Regi Digital Ltd., such as an Order Form, Master Services Agreement, or Data Processing Agreement, that agreement will take precedence in the event of conflict.

02 Website use

You may use the website for lawful business purposes. You must not:

  • Attempt to gain unauthorised access to the website or its systems
  • Introduce malware or conduct attacks (e.g. denial-of-service)
  • Scrape, harvest, or reuse website content at scale without permission
  • Use the website in any way that breaches applicable law or regulation

03 Use of the Regi Tool

The Tool is intended for professional/enterprise use. You agree to:

  • Use the Tool only for lawful purposes and in accordance with these Terms
  • Ensure anyone using your account is authorised and complies with these Terms
  • Keep login credentials confidential and promptly notify us of unauthorised access
  • Not reverse engineer, decompile, or attempt to extract source code except where permitted by law
  • Not use the Tool to store or transmit unlawful, infringing, harmful, or malicious content
Your responsibilities: You are responsible for the content you input or upload, and for ensuring you have the right to use it, including any personal data or confidential information. You should not upload special category data (e.g. health data) unless you have an appropriate lawful basis and safeguards in place.

04 Compliance and no legal or regulatory advice

Regi helps structure and operationalise compliance workflows and documentation. However:

  • The Tool does not provide legal advice, medical advice, or regulatory approval
  • You remain responsible for regulatory strategy, classification decisions, submissions, and compliance outcomes
  • Outputs generated by the Tool should be reviewed by appropriately qualified personnel before use in regulatory or quality processes

05 Accounts, access, and security

We may require account registration to access the Tool and may implement security controls, such as authentication requirements and monitoring, to protect the Tool and users.

We may suspend or restrict access if we reasonably believe:

  • There is a security risk or suspected misuse
  • Your use breaches these Terms
  • Continued access could cause harm to the Tool, us, other users, or third parties

06 Subscription, fees, and trial access

The Tool may be provided on a subscription basis and/or via a trial. Fees, billing terms, and plan details will be set out in your Order Form, checkout flow, or separate agreement.

Unless otherwise agreed in writing:

  • Fees are payable in advance and are non-refundable except as required by law
  • Taxes may apply and will be charged where applicable

07 Intellectual property

Website content

Unless stated otherwise, all website content (text, logos, graphics) is owned by or licensed to Regi Digital Ltd. You may view and print pages for internal business use, but not reproduce or distribute without permission.

The Tool

We retain all rights in the Tool, including software, designs, documentation, and updates.

Your content

You retain ownership of the content you submit to the Tool. You grant us a limited licence to host, process, and display your content only to provide and improve the Service, and to maintain security and integrity.

08 Confidentiality

If we share non-public information with you (or you share non-public information with us), both parties agree to keep it confidential and use it only for the permitted purpose, unless:

  • It is already public through no breach of these Terms
  • Disclosure is required by law
  • It was independently developed without use of confidential information

09 Acceptable use

You must not:

  • Interfere with or disrupt the Tool or website
  • Attempt to bypass access controls or security measures
  • Use the Tool to create, transmit, or store malicious code
  • Use the Tool in a way that infringes intellectual property rights or violates privacy and data protection laws
  • Misrepresent output as "regulatory approval" or claim endorsement by regulators

10 Availability and changes

We aim to keep the Tool and website available and secure, but we do not guarantee uninterrupted operation. We may update, change, or discontinue parts of the website or Tool, and may introduce or change features over time.

11 Third-party services

The website or Tool may integrate with third-party services (e.g. hosting, analytics, email, identity providers). Third-party services are subject to their own terms and policies, and we are not responsible for them.

12 Liability

To the maximum extent permitted by law, we exclude liability for indirect, incidental, special or consequential losses, including loss of profits, revenue, business, goodwill, or data.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, or any liability that cannot be excluded under applicable law.

13 Termination

You may stop using the website at any time. Tool subscriptions may be cancelled in accordance with your plan terms or separate agreement.

We may terminate or suspend access to the Tool if you materially breach these Terms or if we must do so to comply with law or protect the Tool and users.

14 Privacy and cookies

Our processing of personal data is described in our Privacy Notice and Cookie Policy, which form part of these Terms.

15 Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
